Terms & Conditions of Participation
Applicable to all SMARTnership training programs, workshops, and masterclasses · Effective January 1, 2025
Legal Entity: The SMARTnership Negotiation Organisation is a trading name of Future Science Corp, a corporation registered in the State of Delaware, USA. All contractual obligations, intellectual property rights, and legal responsibilities referenced in these Terms are held by Future Science Corp.
These Terms & Conditions ("Terms") govern your registration for and participation in any training program, workshop, virtual session, or masterclass offered by the SMARTnership Negotiation Organisation, a trading name of Future Science Corp (collectively referred to as "SMARTnership"), in connection with "the Program". By completing registration or attending any session, you agree to be bound by these Terms in full. Please read them carefully before enrolling.
Section 1
Enrollment & Participant Limits
Each Program is subject to a maximum number of participants in order to maintain the quality, interactivity, and personalised nature of the learning experience. Enrollment is accepted on a first-come, first-served basis and is not confirmed until full payment has been received.
Each registration is valid for the number of seats purchased only. A registration for one (1) seat entitles one (1) named individual to attend.
Substitution of a registered participant for another individual is permitted up to 72 hours before the Program start date, subject to written notification to SMARTnership.
SMARTnership reserves the right to cap enrollment at any point and to close registration once capacity is reached, regardless of prior expressions of interest.
Group or corporate registrations of three (3) or more seats are subject to a separate group agreement, available upon request.
Why we limit seats: SMARTnership Programs are intentionally kept small to ensure every participant receives individual attention, meaningful feedback, and a high-quality learning environment. Once a cohort is full, no additional participants will be admitted under any circumstances.
Section 2
Right to Refuse or Remove Participants
SMARTnership operates as a private educational organisation delivering proprietary, expressive content developed over decades of research. As such, SMARTnership reserves the right to refuse enrollment to, or remove from any active session, any individual or organisation at its sole discretion, including but not limited to the following circumstances:
Prior disruptive, disrespectful, or inappropriate conduct in any SMARTnership Program or communication.
Actual or reasonably suspected intent to misappropriate, reproduce, or commercially exploit SMARTnership's proprietary content, methodologies, or frameworks.
Representation of, employment by, or affiliation with an organisation that directly competes with SMARTnership's commercial interests, where such participation presents a material conflict.
Provision of false or misleading information during registration.
Failure to comply with these Terms or SMARTnership's Code of Conduct.
Any conduct that, in SMARTnership's reasonable judgment, disrupts the learning environment or burdens SMARTnership's ability to deliver its educational message and methodology.
In the event of removal for cause, no refund will be issued. In the event of refusal prior to the Program, a full refund of fees paid will be provided.
Participation in this program is subject to approval by the organizer. By registering, participants agree that the organizer reserves the right to decline or cancel participation at its sole discretion, including where participation may create a conflict of interest, compromise confidential materials, or involve competing organizations.
Section 3
Intellectual Property & Proprietary Content
All content delivered in connection with SMARTnership Programs — including but not limited to frameworks, methodologies, models, tools, worksheets, slides, case studies, simulations, written materials, and verbal instruction — constitutes the exclusive intellectual property of SMARTnership and/or Dr. Keld Jensen ("SMARTnership IP"). SMARTnership IP is protected under applicable United States and international copyright, trademark, and trade secret laws.
Personal use only. Materials provided to participants are licensed for personal, non-commercial use exclusively and may not be reproduced, distributed, resold, or adapted in any form without prior written consent from SMARTnership.
No derivative works. Participants may not create training programs, courses, workshops, publications, or commercial offerings that are based on, derived from, or substantially similar to SMARTnership IP.
Confidentiality of methodology. The SMARTnership™ framework and NegoEconomics™ model are proprietary and confidential. Participants agree not to disclose detailed methodological content to third parties for commercial purposes.
Trademarks. "SMARTnership™" and "NegoEconomics™" are registered trademarks of SMARTnership. No right to use these marks is granted to participants.
Important: Unauthorised reproduction, redistribution, or commercial use of SMARTnership IP may result in immediate removal from the Program, forfeiture of fees paid, and civil or criminal legal action. SMARTnership actively enforces its intellectual property rights.
Section 4
Strict No-Recording Policy
To protect the intellectual property of SMARTnership, the privacy of all participants, and the integrity of the learning environment, the recording of any session — in any form — is strictly prohibited.
This prohibition applies to audio recording, video recording, screen capture, live-streaming, screenshots of session content, and any other method of capturing or reproducing session content, whether partial or complete.
This policy applies to all formats of Program delivery, including in-person events, live virtual sessions, and hybrid formats.
Participants who are found to be recording any session, or who share content captured in violation of this policy, will be immediately removed from the Program with no refund and may be subject to legal action.
SMARTnership may, at its sole discretion, record sessions for internal quality assurance or for providing post-session materials to registered participants. Any such recordings remain the exclusive property of SMARTnership and will not be redistributed without participant consent.
What you receive instead: Registered participants receive all course materials, worksheets, and post-program support documents in digital format. These are designed to be your personal reference and make note-taking — not recording — your primary tool for retention.
Section 5
Payment & Refund Policy
Full payment is required to confirm enrollment. Registrations are not held without payment.
Cancellation 14+ days before Program start: Full refund, less a 5% processing fee.
Cancellation 7–13 days before Program start: 50% refund or a credit transferable to a future program (valid 12 months).
Cancellation within 6 days of Program start: No refund. A credit may be issued at SMARTnership's discretion.
No-show: No refund or credit will be issued for participants who do not attend without prior written notice.
Program cancellation by SMARTnership: In the unlikely event SMARTnership cancels a Program, a full refund will be issued within 10 business days. SMARTnership's liability is limited to the amount paid for the Program.
Section 6
Participant Code of Conduct
SMARTnership is committed to providing a professional, inclusive, and productive learning environment. All participants are expected to:
Treat fellow participants, facilitators, and staff with respect and professionalism at all times.
Arrive prepared and engage constructively in all exercises, simulations, and discussions.
Refrain from disruptive behaviour, including conduct that demeans, harasses, or intimidates others.
Maintain the confidentiality of sensitive information shared by other participants during role-plays and group exercises.
Comply with all session instructions provided by the facilitator.
SMARTnership reserves the right to remove any participant who violates the Code of Conduct without refund, and to bar future participation.
Section 7
Limitation of Liability
To the fullest extent permitted by applicable law, SMARTnership's total liability to any participant in connection with any Program shall not exceed the amount paid by that participant for the relevant Program. SMARTnership shall not be liable for any indirect, consequential, incidental, or punitive damages arising from participation in or inability to participate in any Program.
SMARTnership does not guarantee specific business outcomes, negotiation results, or financial gains as a result of attending any Program. Results may vary based on individual application, industry context, and circumstances.
Section 8
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or from participation in a SMARTnership Program shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.
Section 9
Amendments
SMARTnership reserves the right to update or amend these Terms at any time. The version in effect at the time of your registration applies to your Program participation. Continued use of SMARTnership programs following any update constitutes acceptance of the revised Terms.
